Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Darshini (the “Service”), operated by AgentCVS (“Darshini”, “we”, “us”). By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.

1. Your data and ownership

As between you and Darshini, you own the content you submit to the Service — meeting media, transcripts, screen captures, uploaded files — and the deliverables generated from it (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the Service, including processing it through the AI models and subprocessors described in our Privacy Policy. We do not use Customer Data to train our own general-purpose models, and we do not sell it.

2. Acceptable use

You agree not to use the Service to:

  • • Violate any law, including recording or surveillance laws.
  • • Upload or process content you do not have the rights or consent to process.
  • • Infringe intellectual-property, privacy, or confidentiality rights of others.
  • • Attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service or other workspaces.
  • • Process unlawful, harmful, or abusive content.

3. Recording and consent responsibility

The Service records and transcribes meetings at your direction. You are solely responsible for obtaining all consents and giving all notices required by applicable law before recording any meeting or capturing any participant’s audio, video, or screen, including in jurisdictions that require the consent of all parties. You will indemnify us against claims arising from your failure to obtain required consent.

4. AI-generated output

Deliverables and other output are generated automatically by AI models. They may be inaccurate, incomplete, or unsuitable for your purpose, and they do not constitute legal, financial, medical, or other professional advice. You are responsible for reviewing, verifying, and editing output before relying on it or sharing it. The Service is designed to keep output reviewable and editable before export so that you remain in control of the final result. To the extent permitted by law, the output is provided “as is” without warranty of accuracy.

5. Plans, trials, and usage limits

The Service is offered across plan tiers (including free, pro, and enterprise). Each plan carries usage limits — such as caps on recordings, processing minutes, storage, deliverables, recording size, and concurrent recording sessions — which are enforced in the product. Free and trial access is provided for evaluation, may be subject to lower limits, and may be modified, suspended, or discontinued. We may enforce limits by rejecting requests that would exceed your plan’s quota.

6. Subprocessors

We use third-party subprocessors to deliver the Service, including providers of speech-to- text and AI-model processing. The current list, with each provider’s purpose and the data categories it receives, is maintained in our Privacy Policy. By using the Service you consent to this processing.

7. Warranty disclaimer

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that output will be accurate or complete.

8. Service levels and compliance

We do not currently offer a contractual service-level agreement (SLA), uptime guarantee, or formal support commitment, and we make no claim of SOC 2, ISO, HIPAA, or other compliance certification. We will state any such commitments expressly in writing if and when we offer them; absent that, none should be assumed.

9. Limitation of liability

To the maximum extent permitted by law, Darshini will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Service. Our total aggregate liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the twelve months preceding the claim, or, if you use the Service at no charge, one hundred US dollars (USD 100).

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. On termination, your right to use the Service ends. We will make Customer Data available for a reasonable period where practicable, subject to the data-handling limits described in our Privacy Policy; thereafter we will delete or retain it in accordance with that policy and applicable law.

11. Changes to these Terms

We may update these Terms as the Service evolves. We will revise the “Last updated” date above and, for material changes, take reasonable steps to notify you. Continued use after changes take effect constitutes acceptance.
